1. INTRODUCTION AND ACCEPTANCE OF TERMS

1.1 These Terms of Use ("Terms") govern your access to and use of KyoCards.com, including any related websites, applications, features, tools, content, and services operated by Kyo Cards Pte. Ltd. ("Kyo Cards", "we", "us", or "our") (collectively, the "Platform").

1.2 The Platform operates as a dealer-facilitated collectibles platform, under which trading cards and collectibles are listed by third-party suppliers and sold to buyers by Kyo Cards as seller of record, with fulfilment carried out through a controlled drop-shipping model.

1.3 By creating an account, accessing, or using the Platform in any manner, you confirm that you have read, understood, and agree to be legally bound by these Terms and all policies incorporated by reference.

1.4 If you do not agree to these Terms, you must immediately cease all use of the Platform.

2. INCORPORATED POLICIES

2.1 The Platform is governed by additional policies, including but not limited to:

  • Privacy Policy
  • FAQs and Help Centre policies
  • Supplier onboarding and settlement policies
  • Authentication, refund, and dispute procedures

2.2 These policies (collectively, the "Policies") are incorporated by reference and form an integral part of these Terms.

2.3 In the event of any inconsistency between these Terms and the Policies, these Terms shall prevail unless expressly stated otherwise.

3. PLATFORM STATUS AND INTELLECTUAL PROPERTY

3.1 Kyo Cards is an independent collectibles dealer platform and is not affiliated with, endorsed by, or sponsored by any trading card game publisher or intellectual property owner.

3.2 All trademarks, logos, artwork, and product names displayed on the Platform belong to their respective owners. Kyo Cards does not claim ownership of any third-party intellectual property.

3.3 Users and suppliers are solely responsible for ensuring that their activities and items do not infringe any intellectual property or other third-party rights.

4. ELIGIBILITY AND ACCOUNT REGISTRATION

4.1 You must be at least 18 years old to create an account and use the Platform.

4.2 You agree to provide accurate, complete, and up-to-date information and to promptly update such information as necessary.

4.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

4.4 Kyo Cards reserves the right to suspend, restrict, or terminate any account that violates these Terms, Policies, or applicable law.

5. ROLES OF PARTIES

5.1 Buyers
Buyers purchase collectibles from Kyo Cards as seller of record.

5.2 Suppliers
Individuals or entities listing items on the Platform ("Suppliers") act as third-party suppliers to Kyo Cards and do not sell directly to buyers.

5.3 Kyo Cards
Kyo Cards determines which supplier-listed items it offers for sale, accepts payment from buyers, issues refunds where required, and manages compliance obligations.

6. SUPPLIER-LISTED PRICING AND LISTINGS

6.1 Prices displayed on the Platform are supplier-listed prices accepted by Kyo Cards for resale to buyers.

6.2 Suppliers warrant that all listings are accurate, lawful, and truthful, including condition, authenticity, and ownership.

6.3 Right to Cancel or Reject
Kyo Cards may, at its reasonable discretion, cancel an order or reject an item prior to acceptance where such action is necessary to:

  1. comply with applicable laws, regulatory requirements, or payment network rules;
  2. manage fraud, operational, or financial risk; or
  3. protect the integrity, security, and proper functioning of the Platform.

Any such cancellation will be handled in accordance with applicable law and the Platform's refund procedures. Kyo Cards will not exercise this right arbitrarily or in bad faith.

7. CONDITIONAL PURCHASE AND ACCEPTANCE

7.1 Kyo Cards' purchase of any item from a supplier is conditional and only occurs upon:

  • Successful authentication, where selected; or
  • Shipment acceptance in accordance with Platform Policies.

7.2 Until acceptance occurs, title and risk remain with the supplier. Acceptance occurs upon shipment confirmation in accordance with Platform Policies, at which point title to the item passes from the supplier to Kyo Cards for onward resale to the buyer.

7.3 Kyo Cards may reject items that fail authentication, compliance checks, or shipment requirements.

8. AUTHENTICATION SERVICES AND RISK ALLOCATION

8.1 Optional Authentication
Kyo Cards offers an optional authentication or verification service ("Authentication") as part of its order processing workflow.

8.2 Process-Oriented Service
Authentication affects the internal order handling and acceptance process only. It is not a prerequisite for purchase, does not alter statutory consumer rights, and does not change Kyo Cards' role as seller of record.

8.3 Where Authentication Is Selected
If Authentication is selected, Kyo Cards may verify consistency between the item supplied and the listing description prior to final acceptance of the item for fulfilment.

8.4 Where Authentication Is Not Selected
If Authentication is not selected:

  • the item is processed based on supplier representations and standard fulfilment checks;
  • no additional verification step is performed prior to fulfilment; and
  • the buyer acknowledges that no additional verification was requested as part of the processing workflow.

This does not limit or exclude any statutory consumer rights.

8.5 Supplier Responsibility
Regardless of whether Authentication is selected, suppliers remain responsible for the accuracy, legality, and authenticity of items supplied under the Supplier Terms.

9. PAYMENTS AND PAYMENT METHODS

9.1 Principal Reseller Model
Kyo Cards operates as a principal reseller and seller of record. Buyers purchase items directly from Kyo Cards, and Kyo Cards collects payment from buyers in its own name.

9.2 Payment Methods
Buyers may pay using:

  • PayNow (no processing fee charged by Kyo Cards); or
  • Credit cards (Visa / Mastercard), subject to a 4% processing fee imposed by Kyo Cards' third-party payment provider.

9.3 Fund Flow and Processing
Buyer payments are received by Kyo Cards as principal. Funds may be subject to internal reconciliation, verification, refund processing, chargeback handling, or regulatory review before supplier settlement occurs. Such processes relate solely to Kyo Cards' internal operations and do not affect Kyo Cards' ownership of buyer payments upon receipt.

9.4 No Escrow or Intermediation
Kyo Cards does not operate an escrow service, payment pass-through, or marketplace intermediary model. Any timing difference between buyer payment and supplier settlement reflects Kyo Cards' principal resale operations and risk management processes.

10. FEES AND PRICING STRUCTURE

10.1 Platform Service Fees

  • 0% platform service fee for singles and graded cards
  • 3% transaction fee charged to both buyer and supplier for sealed products

10.2 Payment Processing Fees
Additional fees may apply depending on payment method.

10.3 All applicable fees are disclosed prior to checkout.

11. SUPPLIER SETTLEMENT AND PAYOUTS

11.1 Principal Purchase and Resale
Supplier settlement reflects Kyo Cards' purchase of items from suppliers for onward resale as principal. Supplier payments are not buyer funds held on behalf of suppliers.

11.2 Settlement Cycle
Suppliers are paid within seven (7) business days following shipment confirmation and order acceptance, subject to refunds, chargebacks, and compliance reviews.

Kyo Cards may withhold, delay, or adjust settlement where reasonably necessary for operational, risk management, or regulatory reasons, including where a transaction is under investigation or subject to dispute.

11.3 Adjustments and Set-Offs
Kyo Cards may apply adjustments, deductions, or set-offs to supplier settlements to account for refunds, disputes, counterfeit claims, chargebacks, or other contractual liabilities.

11.4 No Marketplace Intermediation
Supplier settlement timing and adjustments do not create an escrow, trust, or intermediary relationship. Supplier payments represent consideration for goods supplied to Kyo Cards.

12. REFUNDS, RETURNS, AND DISPUTES

12.1 Buyer refunds are issued by Kyo Cards in accordance with consumer protection laws and Platform Policies.

12.2 Supplier reimbursement or clawback is contractual and not automatic upon buyer refund.

12.3 Resolution Process
Buyers are encouraged to contact Kyo Cards first to resolve order-related issues. This is a request intended to facilitate efficient resolution and does not restrict or limit any statutory rights or remedies available to buyers under applicable law.

13. COUNTERFEIT ITEMS AND ENFORCEMENT

13.1 Counterfeit or Misrepresented Items

13.1.1 Where an item sold by Kyo Cards is reasonably determined to be counterfeit or materially misrepresented, Kyo Cards will provide the buyer with remedies in accordance with applicable consumer protection laws, regardless of whether Authentication was selected.

13.1.2 Ownership and risk of loss passes to the buyer upon delivery; however, this does not affect Kyo Cards' obligations in respect of items that were counterfeit or misrepresented at the time of sale.

13.1.3 Kyo Cards may require reasonable supporting information to assess such claims and reserves the right to recover associated losses from the supplier in accordance with these Terms.

13.2 Kyo Cards reserves the right to recover losses from suppliers and to take enforcement action.

14. TAX AND REGULATORY COMPLIANCE

14.1 Tax Treatment and Principal Capacity

14.1.1 For tax and regulatory purposes, Kyo Cards operates the Platform in its capacity as a principal reseller and seller of record, and not as an agent, broker, or intermediary acting on behalf of suppliers.

14.1.2 In this capacity, Kyo Cards:

  • determines whether items supplied by suppliers are offered for sale on the Platform;
  • controls the terms of sale presented to buyers, including pricing display and checkout conditions;
  • contracts directly with buyers as seller of record; and
  • separately contracts with suppliers for the supply of goods.

14.1.3 Amounts paid to suppliers represent consideration for goods supplied to Kyo Cards and do not constitute customer funds held on behalf of suppliers, revenue sharing, or agency commissions.

14.1.4 The operational and financial flows of transactions on the Platform are intended to reflect and be consistent with this principal reseller model, including for purposes of GST treatment, regulatory compliance, and accounting under applicable Singapore laws.

14.2 Suppliers are responsible for their own tax obligations arising from supplier payments.

14.3 Kyo Cards complies with applicable Singapore consumer protection and payments regulations.

15. PROHIBITED CONDUCT

Users and suppliers must not:

  • List counterfeit or unlawful goods
  • Engage in fraud or misrepresentation
  • Attempt to bypass Platform controls
  • Manipulate pricing or transactions

16. SUSPENSION AND TERMINATION

16.1 Kyo Cards may suspend or terminate accounts for violations, risk management, or regulatory reasons.

16.2 Termination does not affect accrued rights or liabilities.

17. LIMITATION OF LIABILITY

17.1 Seller of Record Responsibility
Kyo Cards acts as seller of record for items sold on the Platform and is responsible to buyers for compliance with applicable consumer protection laws.

17.2 Statutory Rights Preserved
Nothing in these Terms excludes, restricts, or limits any rights, remedies, or liabilities that cannot be excluded under applicable law, including statutory consumer guarantees.

17.3 Permitted Liability Limitations
To the extent permitted by law, Kyo Cards shall not be liable for indirect, incidental, or consequential losses (such as loss of profits or business interruption) arising from Platform use.

17.4 Order-Based Liability Cap
Where and to the extent permitted by applicable law, Kyo Cards' total liability in respect of a specific order shall not exceed the total amount paid by the buyer for that order.

17.5 Internal Supplier Indemnities
Any supplier indemnities or recoveries described in these Terms operate solely between Kyo Cards and suppliers and do not affect buyer rights or remedies.

18. INDEMNITY

18.1 Supplier Indemnity
Suppliers agree to indemnify, defend, and hold harmless Kyo Cards, its directors, officers, employees, and agents from and against any losses, liabilities, penalties, chargebacks, claims, damages, and reasonable costs arising from or relating to:

  • counterfeit, fake, or unlawful items supplied by the supplier;
  • misrepresentation or inaccurate description of items;
  • infringement of intellectual property or third-party rights attributable to supplier-provided items or content;
  • breach of these Terms, Supplier Terms, or applicable law by the supplier.

18.2 Internal Allocation of Risk
This indemnity governs the internal allocation of risk between Kyo Cards and suppliers only. It does not affect, limit, or reduce any rights or remedies available to buyers under applicable law or under these Terms.

18.3 User Indemnity (General)
All users agree to indemnify Kyo Cards against losses arising from their own fraud, unlawful conduct, or material breach of these Terms, to the extent permitted by law.

19. DATA PROTECTION

Use of the Platform is subject to the Privacy Policy and applicable data protection laws.

20. CHANGES TO TERMS

20.1 Kyo Cards may update these Terms from time to time.

20.2 For material changes, Kyo Cards will provide advance notice via the Platform, email, or other reasonable means, and will specify the effective date of the updated Terms.

20.3 Continued use of the Platform on or after the effective date of updated Terms constitutes acceptance. If a user does not agree to the changes, they must discontinue use of the Platform before the effective date.

21. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of Singapore. Courts of Singapore have exclusive jurisdiction.
